  • I am not subject to any agreement that assigns or licenses this IP to another party

  • No employer, former employer, client, or institution has rights in this IP

  • The IP does not infringe any third-party intellectual property to my knowledge

NOTICE OF INTENT TO ASSIGN INTELLECTUAL PROPERTY

I, John Michael Homan, the sole owner of the intellectual property described in the IP Invention & Ownership Record dated 19th January 2026, hereby state my intent that:

  • Upon the formation of a future corporate entity for the purpose of commercializing the IP,

  • I may assign all such IP to that entity in exchange for founder equity and/or nominal consideration,

  • Subject to execution of a formal written assignment agreement.

This notice does not constitute an assignment and does not grant any rights to any third party.

CONDITIONAL INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT

(Future Delaware Corporation)

Effective Date: This Agreement is executed as of 19th of January 2026

1. Parties

  • Assignee:

  • If the Operating Company (UAE Free Zone FZ-LLC) is the assignee: A limited liability company to be formed within a United Arab Emirates Free Zone as a Free Zone Limited Liability Company (FZ-LLC) (the “Company”).

2. Background

A. Assignor is the sole creator and owner of certain intellectual property relating to a software product and associated materials (the “IP”), as documented in the IP Invention & Ownership Record dated 19th of January 2026.

B. Assignor intends to form the Company for the purpose of developing, commercializing, and operating products based on the IP.

C. Assignor desires to provide for the automatic assignment of the IP to the Company upon its legal formation, subject to the terms of this Agreement.

3. Assignment of Intellectual Property

3.1 Conditional Assignment

Assignor hereby irrevocably agrees to assign, and does hereby assign by way of present assignment of future rights, to the Company all right, title, and interest in and to the IP effective automatically upon the legal formation of the Company.

No transfer of ownership shall occur prior to the Company’s formation.

3.2 Intellectual Property Defined

The “IP” includes, without limitation:

  • Software, source code, and executable logic

  • Application workflows, configurations, and system architecture

  • Algorithms, models, and technical designs

  • Database schemas and data structures

  • User interface and user experience designs

  • Documentation, specifications, and product requirements

  • Trade secrets, know-how, and proprietary methods

  • All derivative works, improvements, and enhancements

  • All worldwide intellectual property rights therein

excluding any third-party platforms, frameworks, or underlying infrastructure.

4. Consideration

The consideration for this assignment shall be:

  • The issuance of founder membership interests (shares) in the Company; and/or

  • Nominal monetary consideration, the receipt and sufficiency of which are hereby acknowledged

If the Foundation Is Involved (IP Assigned to Foundation)

The consideration for this assignment shall be:

  • The grant of beneficial or governance rights in accordance with the Foundation Charter and By-Laws; and/or

  • Nominal monetary consideration, the receipt and sufficiency of which are hereby acknowledged.

If IP Is Assigned to Operating Company Owned by Foundation (Most Structurally Clean)

The consideration for this assignment shall be:

  • The issuance of founder membership interests in the Company, which is owned by a UAE foundation; and/or

  • Nominal monetary consideration, the receipt and sufficiency of which are hereby acknowledged.

5. Further Assurances

Assignor agrees to execute any additional documents and take any further actions reasonably necessary to perfect, record, or enforce the Company’s ownership of the IP after formation, at the Company’s expense.

6. Representations and Warranties

Assignor represents and warrants that:

  • Assignor is the sole legal and beneficial owner of the IP

  • The IP is original and has not been assigned or licensed inconsistently with this Agreement

  • No third party has any ownership interest in the IP

  • Assignor has full authority to enter into this Agreement

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied within the [Name of Free Zone], and the parties submit to the exclusive jurisdiction of the competent courts of that jurisdiction.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings.

9. Execution

This Agreement is executed by the Assignor as of the Execution Date written above.
